The Separate Legal Personality of a Company Means That Shareholders of the Company and Directors of the Company Are Not Responsible for Any Liabilities That Arise as a Result of the Actions of the Company

...protected by the limited liability, only in some rare circumstances; shareholders would be liable for the action of the company. The first issue is when shareholders have unpaid their shares; during liquidation, shareholders have to repay the outstanding amount to the company. Secondly, in the case of It's a Wrap (UK) Ltd (In Liquidation) v Gula, the facts shown that shareholders have “ reasonable grounds” to know the company did not have any distributable profits and breached the CA 2006 s.847, the court held shareholders were liable to repay the dividends back to the company (Banerjee, 2013). In reality, shareholders may not fully aware the dividend distribution is lawful and legitimate, unless they shown “reasonable ground”. As well as for directors, if directors knew the distribution was unlawful, then directors would be personally liable to repay the distribution (Winckworth Sherwood, 2013). Although the Salomon cases had been ingrained in our world for establishing the importance of the corporate veil, from the case of Prest v Petrodel Resources Ltd, the court is very unwilling to neglect the importance of separate legal personality, that the veil can only be lifted in some exceptional circumstances. This can be classified as statutory and judicial exceptions, whereas directors or shareholders are being responsible for liabilities that arise as a result of the actions of the company. This essay mainly focuses on the statutory exceptions on lifting the corporate......

Justify Two Significant Social and/or Political Changes That Occurred as a Result of the Actions of One World Leader.

...as a result of the actions of one world leader. Mohandas Gandhi (1869-1948) once said, “My life is my message” (Soomo, 2013). He was a world leader that led by example. In this essay I will give an example of a political and a social change created by Gandhi’s teaching. To begin with Gandhi’s background, as a young adult in London, he trained as a barrister according to Sohail (2005). Sohail identified that Gandhi soon discovered a disliking for the busy lifestyle, high standard of living, and expense of the city. Even though he only spent a few years in London, it really shaped his simple living views that he would live his entire life by. His next big adventure was in South Africa. Sohail stated that Gandhi became a leader with the Indian National Congress and fought for equality. He was a leader in the Indian community. According to Lal (2012), Gandhi practiced Satyagraha, the practice of non-violent resistance, to make political points without violence. It was also here that he organized small self-sufficient communities, Lal described. Gandhi led others by his own example. I believe this is why he was so influential. He didn’t just tell the public how change should occur; he showed the people how it occurred and the importance of the change. Most leaders of that time demanded obedience, or else severe punishment followed. Gandhi’s approach forever changed the world socially and politically. The most significant political change that occurred as a result......

Technical Resume

...When an employer looks at your resume, you've got about 6-10 seconds to make a good impression. To capture the reader's attention, you need to be clear and to-the-point. Be Organized and Logical In addition to reviewing your experience, employers also use the resume to sense whether you are organized, logical, and concise. Make sure your resume is balanced, neat, visually appealing, and flows consistently. Clearly separate sections and emphasize section titles. Keep a Positive Tone Your resume should present you in the best possible light. If you don't possess every skill an employer is seeking, do not emphasize your shortcomings. Focus on what you can offer. Combine Sections When Possible Try to combine any short sections together to make your resume more compact. For example, if you only have one entry under training, consider placing it under your education instead and change the section title to "Education and Training." Use Common Section Headings Use common section headings. Examples: Objective, Experience, Employment, Work History, Skills, Summary, Summary of Qualifications, Accomplishments, Achievements, Capabilities, Education, Professional Affiliations, Publications, Licenses and Certifications, and Honors. Be Concise and Omit Irrelevant Information Employers don't want to read a long, drawn-out version of your life's accomplishments. They have stacks of resumes to read, and want to know quickly whether or not you would be a good fit for their company. So, be clear......

“Anglo-Spanish Relations Deteriorated in the Years 1568 – 1588 Largely as a Result of the Actions of the English”. Assess the Validity of This View.

...between a Protestant England and Catholic Spain, although joint suspicion of the Guises was sufficient to keep the two powers reasonably friendly. Despite this, relations dropped markedly in 1568 as a result of the issue of sovereignty and crises that ravaged the Netherlands. It is true that Elizabeth did much to antagonise the Spanish during these years of conflict, although there are many instances where her policy towards Spain was nothing more than a reaction to circumstance. It can, therefore, be argued that Spanish actions, as well as other influencing factors such as religion, contributed significantly to the deterioration of Anglo-Spanish relations between the years 1558 and 1568. The cracks in Anglo-Spanish relations first began to appear after the 1568 trading activity of English naval commander John Hawkins. This trading activity was perceived by the Spanish as an English attempt to break the extensive Spanish trading monopoly and therefore a direct threat to their authority and prosperity. As a result, the Spanish launched a blockade of Hawkins’ fleet. What followed was a ‘tit-for-tat’ approach to foreign policy by both Elizabeth and Philip. It may be argued that this chain of events is proof of Elizabeth’s reactionary foreign policy as a result of Spanish actions that lead to the decline in Anglo-Spanish relations. Despite this, however, it can be argued that, had Hawkins never embarked on his voyage in the first place, then the subsequent attempts at......
