...T.C. Memo. 2009-93 UNITED STATES TAX COURT THOMAS J. WOODY, Petitioner v. COMMISSIONER OF INTERNAL REVENUE, Respondent Docket No. 30077-07. Filed April 30, 2009. P alleges that during tax year 2004 he had a real estate investment and rental business. P deducted expenses associated with this activity as business expenses under I.R.C. sec. 162. R disallowed the business expense deductions. On the basis of this disallowance, R determined a deficiency in P’s Federal income tax for 2004. P petitioned this Court for redetermination of that deficiency. Held: P was not actively engaged in a real estate investment and rental business when he incurred and paid the expenses he deducted as Schedule C business expenses in 2004. Sec Investigation of Worldcom

...problem, WorldCom’s internal investigation went into high gear, additionally a powerful outside legal team was brought in. The next day as the Securities and Exchange Commission (SEC) was told of the issue the technical workers were engaged in cutting access that Scott Sullivan, the company’s CFO, had to the internal company network. That same night Mr. Sullivan was fired and fraud was laid bare (Chaffin, Kirchgaessner, & Waters, 2002, p.22). The company investigated whether Mr. Sullivan was behind these entries and who else could be involved. In order to save some cash, they laid off 17,000 employees and cut capital spending to $2.1 billion annually (Sandberg et al., 2002). In the end, WorldCom settled its fraud case with US regulators in a move that would help the bankrupt telecommunication company’s new management proceed with its salvage operation (Michael & Thal Larsen, 2002). One of the settlement issues that they agreed to was not be involved with fraud activities again. WorldCom also consented to continuing scrutiny by an independent monitor of its corporate governance, WORLDCOM 5 policies, plans, and internal controls (Michael & Thal Larsen, 2002). Even though WorldCom settled the case, they never did admit or deny any wrongdoings. This settlement gave the company hope that they could emerge from bankruptcy. This settlement, however, had no bearing on the civil and criminal cases. As part of the settlement requirements the SEC wanted an approved......

...Communications Memo Legal Obligations Amid the turmoil of a sudden resignation and rumors of inappropriate accounting practices, we cannot forget our legal obligations. The Securities and Exchange Commission(SEC) is investigating our situation and requesting documentation. The specifics of these requests lead us to believe that the questionable practices may involve revenue recognition. The SEC requires that we file the following information because we are a publicly held company (U.S. Securities and Exchange Commision, 2012) . • Our directors, officers, and particular shareholders o Salaries o Benefits o Any transactions between the company and the people listed above • Our operations • Financial condition of the business o Independently audited financial statements • Our position o Terms of contracts or lease agreements Value of Public Communication Public opinion is extremely important. The public needs to see active participation by the entire company in repairing this situation. We should strive for professionalism, humility, and honesty. The quick resignation of the CFO combined with this SEC investigation will cause the public and our stockholders to doubt our company’s honesty. The goodwill we have worked so hard to gain will be gone if we do not act fast. In an attempt to regain public trust, we need to be as transparent as possible. Transparency will require that we inform the public of our actions. To accomplish this we should consider adopting a...

...#2 MEMORANDUM TO: Professor Siyi Li FROM: Mariam Shamshad DATE: September 11, 2013 SUBJECT: Partition of Restatements as Error or Irregularities This memo discusses the main ideas of Hennes, Leone and Miller (2008) research on restatements reclassification that is studied using the guidelines from Gordon and Porter (2009) reading and understanding academic research. Main Research: There has been much research on causes and consequences of restatements. However, these researches are done using data that contain restatements consisting of both accounting errors and intentional misrepresentation. Hennes, Leone and Miller (2008) research suggest that stronger hypothesis can be developed if the restatements are partitioned as errors and irregularities. The research then proposes ways of distinguishing between these two kinds of restatements. The research question is both interesting and important. It will enhance the past literature related to the subject of restatements. Also, restatements have a significant impact on market and must be assessed properly. Following criteria classify a restatement as an irregularity * Firms using variants of words “irregularities” and “fraud” in disclosure * Restatements with related SEC investigation * Restatements with related independent investigation Restatements not meeting the above criteria are accounting errors. Main Findings: The main findings of the research are the following * The......

Data centers are focused on the LAN technologies, with the goal of redundancy and then to create a more scalable fabric within the data center. Recommendation: As per my search for the best cabling options for the upgraded data center and meeting future requirements is augmented category 6(cat 6A). Cat 6A cable belong to copper cabling category and is designed and improved for the data transmission of 10gb/sec at 500mhz. Considering current horizontal cabling which is a 10mbps star wired using hubs and backbone is 100mbps capable and uses switches at the core. The Sec

...Overview of the SEC Primitive economies are basically barter economies (goods and services traded for other goods and services), while in other mature economies, businesses are organized into proprietorships, partnerships, and joint venture. These types of closely held businesses, in which owners manage their own business, do not need external reporting of the results of operations. However, external reports have become essential with the increase in the size and number of business enterprises, along with the increased amount of people investing capital resources in these businesses. The corporate form of business also increases the need for objective verification of data and creates a need for disclosure of more and better information to owners and potential investors. Furthermore, the increase in value, size and activity of capital exchange in security market also increases the opening of taking advantage in lax conditions and to profit by misrepresentation and manipulation. Hence, the main reason for establishing the securities legislation was because large security market requires operating procedures that would protect investors from fraud and guarantee an adequate supply of capital for economic growth. Background of the SEC The Securities and Exchange Commission (“SEC”) is one of several public and private sector rule-making organizations that have an effect on financial reporting for businesses. It plays a crucial role in the development...

It was led by Ken Lay who was CEO for the majority of its existence; Mr. Lay grew this corporate giant until its shocking downfall in 2001. At Enron’s peak in August of 2000, it traded at $90.75 per share. January 1, 2002, Enron’s stock price plummeted to a worthless $.67 per share. Enron is considered one of America’s worst cases of accounting fraud. They are still the poster child for Accounting Fraud 12 years after their fraudulent activities were exposed. Mr. Lay retired in February, 2001 to allow Jeffrey Skilling to take over the company as CEO. Mr. Skilling was the CEO until August, 2001 when he too retired for “personal reasons”. Both men received a large bonus payment during 2001. Ken Lay received $67.4 million while Jeffrey Skilling took away $41.8 million. Andrew Fastow joined Enron in 1990 and worked his way up to CFO of the company. Fastow created the SPE (Special Purpose Entity) accounts that helped Enron attain the level of profitability it reached. Sherron Watkins was the Vice President who also worked as an Accountant for Arthur Anderson, the accounting firm responsible for audits and financial statement regulations. Watkins joined Enron in 1993 until she too worked her way up to the position of VP. She soon became known as the whistleblower of the entire fraudulent operation that was occurring at Enron.
